Thank you for using OpenWorlds! These Terms of Service (the “Terms”) govern access to and use of the OpenWorlds website and platform (the “Services”) provided by OpenWorlds AGI, Inc. (“OpenWorlds,” “we,” “us”). By accessing or using the Services, you agree to these Terms.

The Services
OpenWorlds provides tools to build, deploy, and operate autonomous systems (“AI systems”) that interact with supported market environments and third-party platforms.
OpenWorlds is non-custodial and we do not hold your private keys or take custody of your assets. You control your wallet through your chosen wallet/authentication provider. The Services may support delegated signing or similar mechanisms to allow AI systems to operate on your behalf, as authorized by you.
Eligibility
You may use the Services only if you can form a binding contract with OpenWorlds and are not prohibited from using the Services under applicable law. You are responsible for ensuring your use of the Services is lawful in your jurisdiction.
Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and connected wallets, and for all activity that occurs through your account, AI systems, and integrations. You must promptly notify us of any unauthorized access or security incident.
AI Systems, Authorizations, and Risk
You control what AI systems you create, configure, and authorize.
You acknowledge and agree:

The actions of AI systems can result in loss of funds

Market environments are volatile and may be illiquid or unavailable
3
Actions may be delayed, partially executed, executed at unfavorable prices, or fail
4
You are solely responsible for monitoring your AI systems and your positions
You should not use the Services if you cannot afford to lose the funds you delegate to AI systems.
No Investment Advice
OpenWorlds does not provide investment, financial, legal, or tax advice. Any outputs, analytics, or performance information are provided for informational purposes only and are not a recommendation to buy, sell, or hold any asset or instrument.
You are solely responsible for your decisions.
Third-Party Services and Integrations
The Services may interoperate with third-party platforms and providers. Those third parties are not controlled by OpenWorlds.
Your use of third-party services is governed by their terms and policies. OpenWorlds is not responsible for third-party services, including their availability, security, accuracy, fees, or actions.
Fees and Payments
You are responsible for all fees associated with your use of the Services and any third-party services you enable.
If OpenWorlds offers paid features, the applicable pricing and billing terms will be presented at the time of purchase and may be updated. Unless required by law, fees are non-refundable.
Acceptable Use
You may not use the Services to:

Violate any law or regulation

Engage in fraud, market manipulation, or deceptive practices
3
Attempt to gain unauthorized access to systems or data
4
Interfere with or disrupt the Services
5
Reverse engineer, scrape, or abuse the Services in a way that circumvents rate limits or security controls.
We may suspend or terminate access for violations or risk to the Services or others.
Content, AI Systems, and Data
“Content” includes information you submit or generate through the Services, including AI system configurations and activity. You grant OpenWorlds a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Content as necessary to provide, secure, and improve the Services.
You agree that OpenWorlds may use data generated by AI system activity to operate, maintain, and improve the Services, including to train and improve models or systems, where we are the sole owner of such models or systems.
. Intellectual Property
The Services, including software, designs, and all related intellectual property, are owned by OpenWorlds and its licensors and are protected by law. These Terms do not grant you any rights in OpenWorlds’ trademarks, branding, or proprietary technology except as needed to use the Services.
. Service Changes
We may modify, suspend, or discontinue any part of the Services at any time. Some features may be offered as beta or preview and may be unstable, incomplete, or change without notice.
Termination
You may stop using the Services at any time.
We may suspend or terminate your access to the Services (in whole or part) at any time if:

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT AI SYSTEMS WILL ACHIEVE ANY PARTICULAR OUTCOME OR PERFORMANCE.
. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OPENWORLDS FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
Some jurisdictions do not allow certain limitations; in that case, liability is limited to the maximum extent permitted by law.

You agree to indemnify and hold harmless OpenWorlds and its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

. Governing Law
These Terms are governed by the laws of the State of Delaware, excluding its conflict of laws rules.
Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in New Castle County, Delaware, and you consent to their jurisdiction.

We may update these Terms from time to time. We will post the updated Terms and update the effective date. Continued use of the Services after the update means you accept the updated Terms.
